END USER LICENSE AGREEMENT - PWA COMPOSER

PREAMBLE

This End User License Agreement (hereinafter "EULA" or "the License") constitutes a legally binding agreement between you, an individual or legal entity (hereinafter "the User" or "you"), and SIDL CORPORATION, a company incorporated under the laws of France, with its registered office in Bourg-en-Bresse, France (hereinafter "SIDL CORPORATION", "we", "us", or "the Licensor"), regarding the use of the PWA Composer software (hereinafter "the Software").

By installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this License. If you do not accept these terms, you are not authorized to install, access, or use the Software.

ARTICLE 1 : DEFINITIONS

1.1. "Software" means the PWA Composer application, including all its components, graphics, user interfaces, documentation, updates, and enhancements provided by SIDL CORPORATION.

1.2. "User" or "End User" means any natural or legal person who uses the Software in accordance with the terms of this License.

1.3. "Documentation" means all manuals, tutorials, guides, and other instructional materials provided with the Software.

ARTICLE 2: LICENSE GRANT

2.1. Subject to your compliance with the terms and conditions of this License, SIDL CORPORATION grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software on your personal or business devices.

2.2. This License is strictly personal and may not be assigned, transferred, or sublicensed to any third party without the prior written consent of SIDL CORPORATION.

ARTICLE 3 : RESTRICTIONS AND LIMITATIONS

3.1. You expressly agree NOT to:

a) Copy, reproduce, or duplicate the Software, in whole or in part, except to make a backup copy for personal archiving purposes.

b) Modify, adapt, translate, decompile, disassemble, reverse engineer, or otherwise attempt to access the source code of the Software.

c) Create derivative works based on the Software.

d) Distribute, broadcast, rent, lease, loan, sell, sublicense, or otherwise transfer the Software to third parties.

e) Remove, obscure, or alter any intellectual property notices, trademarks, or logos contained in or on the Software.

f) Use the Software to develop competing products or services.

g) Use the Software in a manner contrary to applicable laws and regulations.

h) Use the Software to store or transmit viruses, worms, time bombs, Trojan horses, or any other malicious code or programs.

3.2. Any attempt to circumvent the technical protection mechanisms integrated into the Software is strictly prohibited and constitutes a serious breach of this License.

ARTICLE 4 : INTELLECTUAL PROPERTY RIGHTS

4.1. The Software, including but not limited to all code, algorithms, user interfaces, structures, sequences, organization, images, animations, videos, text, and all other elements integrated into the Software, are the exclusive property of SIDL CORPORATION and are protected by French and international laws on copyright, trademarks, patents, and other intellectual property rights.

4.2. No intellectual property rights are assigned to the User. The User only has the usage rights expressly granted by this License.

4.3. The trademarks, logos, and trade names associated with the Software are trademarks or registered trademarks of SIDL CORPORATION. Nothing in this License grants the User the right to use these trademarks without the prior written permission of SIDL CORPORATION.

ARTICLE 5 : UPDATES AND MAINTENANCE

5.1. SIDL CORPORATION may, at its sole discretion, provide updates, enhancements, or new versions of the Software. Use of these updates is subject to the terms of this License, unless additional conditions are presented during installation of the update.

5.2. SIDL CORPORATION has no obligation to provide technical support, maintenance services, or updates for the Software. Any support provided is at the sole discretion of SIDL CORPORATION.

ARTICLE 6 : DATA COLLECTION AND USE

6.1. The Software may collect certain technical and usage-related data to improve its features and services. This collection is carried out in accordance with our Privacy Policy, available on our website.

6.2. By using the Software, you consent to the collection, storage, and processing of this data in accordance with our Privacy Policy.

ARTICLE 7 : GUARANTEES AND RESPONSIBILITIES

7.1. The Software is provided "AS IS" without warranty of any kind, either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2. SIDL CORPORATION does not warrant that the functions contained in the Software will meet your requirements, that the operation of the Software will be uninterrupted or error-free, or that defects in the Software will be corrected.

7.3. In no event shall SIDL CORPORATION be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, damages for loss of profits, business interruption, loss of business information, or any other pecuniary loss) resulting from the use or inability to use the Software, even if SIDL CORPORATION has been advised of the possibility of such damages.

7.4. SIDL CORPORATION's total liability to you for all claims under this License is limited to the amount you paid for the Software or, if the Software was provided free of charge, €50.

ARTICLE 8 : TERM AND TERMINATION

8.1. This License begins on the date you install or use the Software and remains in effect until terminated.

8.2. You may terminate this License at any time by ceasing to use the Software and uninstalling it from all your devices.

8.3. SIDL CORPORATION may terminate this License immediately and without notice if you fail to comply with any of the terms of this License. In such event, you must cease all use of the Software and uninstall it from all your devices.

8.4. In the event of termination, all provisions of this License relating to intellectual property, limitations of liability, indemnities, and general provisions will survive termination.

ARTICLE 9 : CHANGES TO THE LICENSE

9.1. SIDL CORPORATION reserves the right to modify this License at any time by posting an updated version on its website or providing it to you by any other reasonable means.

9.2. Your continued use of the Software after such modifications constitutes your acceptance of the new terms.

ARTICLE 10 : GOVERNING LAW AND JURISDICTION

10.1. This License shall be governed by and construed in accordance with the laws of France, without regard to its conflict of laws principles.

10.2. Any dispute arising out of or in connection with this License shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.

ARTICLE 11 : GENERAL PROVISIONS

11.1. If any provision of this License is held invalid or unenforceable, the remaining provisions will remain in effect.

11.2. This License constitutes the entire agreement between you and SIDL CORPORATION concerning the subject matter hereof and supersedes all prior or contemporaneous communications, proposals, or representations, whether oral or written.

11.3. SIDL CORPORATION's failure to require strict performance of any provision of this License does not constitute a waiver of its rights to subsequently require strict performance of that or any other provision.

11.4. The section headings in this License are for convenience only and have no legal or contractual effect.
